Terms of Service

These Terms of Service (“Terms”) govern access to and use of the products and services offered by Docfiy (“Docfiy”, “we”, “us”, or “our”) — including our marketing websites, the Docfiy workspace application, and documentation, help, and form sites we host for customers (collectively, the “Services”). By creating an account, submitting an order, or using the Services, you (“Customer” or “you”) agree to these Terms. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization.
1. The Services
Docfiy provides tools to crawl publicly accessible web pages you designate, structure content with AI assistance, and publish documentation, help centers, and related forms. Features may change over time. We may provide upgrades, patches, and improvements at our discretion. Unless an Order Form or plan description says otherwise, we have no obligation to provide a specific feature forever.
2. Accounts and eligibility
You must provide accurate account information and keep credentials secure. You are responsible for activity under your account. Free and paid plan limits (pages, sites, seats, AI usage, and similar) are described on Pricing or your Order Form. Exceeding limits may require an upgrade or may result in throttling or suspension.
3. Customer content and crawl rights
“Customer Data” means URLs, content, and materials you submit or upload to the Services, including sites you ask us to crawl and edits you make in the editor. You retain ownership of Customer Data. You represent that you have all rights and permissions needed to crawl, process, and publish that content, and that doing so does not violate third-party rights, site terms, or applicable law.
We process Customer Data to provide the Services to you. We do not sell your Customer Data. We may create aggregated, de-identified insights that cannot reasonably identify you or your end users, and use those for improving and operating Docfiy.
4. Acceptable use
You may not, and may not allow others to:
- Use the Services for unlawful activity or to infringe others’ rights
- Crawl or publish content you are not authorized to use
- Attempt to reverse engineer, disrupt, or bypass security or rate limits
- Build a competing product using non-public aspects of the Services
- Upload malware or abusive automated traffic
We may suspend or terminate access for violations, security risk, or non-payment, with notice when reasonably practicable.
5. Fees and billing
Paid plans are billed according to the plan you select or an Order Form. Fees are in U.S. dollars unless stated otherwise, and are non-refundable except as required by law or our Refund Policy. Taxes are your responsibility except taxes on our net income. Past-due amounts may accrue interest at the lesser of 1.5% per month or the maximum allowed by law. We may suspend Services for accounts that remain unpaid.
6. Intellectual property and feedback
Docfiy and its licensors own the Services, software, branding, and related intellectual property. These Terms do not transfer ownership to you. If you send feedback or suggestions, you grant Docfiy a perpetual, worldwide, royalty-free license to use that feedback without restriction.
7. Artificial intelligence features
Certain features use AI models to structure content, answer questions, or assist editing. Outputs may be inaccurate or incomplete; you are responsible for reviewing published content. We do not use your Customer Data to train public foundation models. Processing by subprocessors (including AI providers) is limited to delivering the Services under appropriate contracts.
8. Third-party services
The Services may integrate with third-party products (for example payment processors, hosting, analytics, or identity providers). Your use of those products is subject to their terms. We are not responsible for third-party outages or policy changes outside our control.
9. Confidentiality
Each party may receive non-public information from the other. The receiving party will protect that information with reasonable care and use it only to perform under these Terms, except for information that is public, independently developed, or rightfully received from a third party without restriction. Disclosure required by law is permitted with notice when legally allowed.
10. Disclaimers
EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, OR DATA. EXCEPT FOR YOUR PAYMENT OBLIGATIONS, YOUR BREACH OF SECTION 4 (ACCEPTABLE USE), OR A PARTY’S INDEMNIFICATION OBLIGATIONS WHERE APPLICABLE, EACH PARTY’S TOTAL LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE FEES YOU PAID TO DOCFIY FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM. FREE OR TRIAL USE IS PROVIDED WITHOUT WARRANTY AND WITH LIABILITY CAPPED AT USD $100 WHERE SUCH A CAP IS ENFORCEABLE.
12. Indemnification
You will defend and indemnify Docfiy against third-party claims arising from Customer Data, your use of the Services in violation of these Terms, or your infringement of third-party rights, except to the extent caused by our willful misconduct.
13. Term and termination
These Terms start when you first use the Services and continue until your account is closed or all subscriptions end. Either party may terminate for material breach if the breach is not cured within thirty (30) days after notice. Upon termination, your right to access the Services ends. Sections that by nature should survive (including ownership, fees owed, disclaimers, liability limits, and governing law) survive termination.
14. Governing law
These Terms are governed by the laws of the State of New Mexico, United States, without regard to conflict-of-law rules. Courts located in New Mexico have exclusive jurisdiction, except that Docfiy may seek injunctive relief in any jurisdiction to protect its intellectual property or Confidential Information.
15. Changes
We may update these Terms by posting a revised version on this page and updating the “Last updated” date. Material changes will be highlighted where practicable. Continued use after the effective date constitutes acceptance of the updated Terms.
